Over the course of two seminars, and through examination of Case Studies, Julianne will impart a practical overview of Directors Duties and Liabilities with particular reference to Listing Rules,Code on Takeovers & Mergers & Share Repurchases, Companies Ordinance Cap.622, Articles of Association and their effect, Securities and Futures Ordinance, Directors' and officers' offences and enforcement.

Partner at Brandt Chan & Partners, which is associated with Dentons. She practices in the areas of capital markets, corporate finance, securities and China investment.
Julianne has acted for financial advisers and companies on a wide variety of public company and securities-related matters, including equity issues for flotation of companies on the Hong Kong Stock Exchange, corporate restructurings, mergers and acquisitions, private placing of public company shares, schemes of arrangement, corporate rescues, privatization of listed companies, compliance and regulatory issues within the Hong Kong company and securities regulatory framework, including statutory and stock exchange requirements, establishment of financial services and securities business, as well as the restructuring, marketing and operation of various types of investment vehicles. She also assists companies listing on AIM in the United Kingdom. Julianne has advised in M&A transactions qualifying for M&A Deal of the Year in the Hong Kong Law Awards.
Julianne speaks fluent English and Chinese (Mandarin and Cantonese). She formerly served in the offices of Hammonds, Koo and Partners, Boughton Peterson Yang Anderson and Baker & McKenzie.
