TOPIC: New Companies Ordinance: (1) Will you change your articles? Practical tips and areas to consider; (2) AGMs, execution & amalgamations
(1) Why an existing company need not change its articles; voluntary changes to consider and avoidance of traps
(2) Tips on: (i) timing and requirement for AGMs; (ii) how to sign documents; and (iii) how to simplify corporate structures
SPEAKERS:
Jason Webber, Slaughter and May
Jason has been with Slaughter and May for more than 20 years and is a partner in the firm's corporate, commercial and financing department. He regularly advises in relation to complex matters involving the Hong Kong regulatory authorities and governmental bodies. He is qualified to practise Hong Kong and English law and is listed as a leading individual under China for Corporate/M&A: Hong Kong-based (International Firms) and Capital Markets: Equity (International Firms) in Chambers Asia 2013 and Private Equity Hong Kong (Foreign firms) in the IFLR 1000, 2014.
Peter Lake, Slaughter and May
Peter is a partner at Slaughter and May and is involved in a wide range of corporate work, advising companies, financial institutions and fund management groups. He read law at Cambridge University and is qualified to practise Hong Kong and English law. Peter is listed as a leading lawyer in Banking & Finance: Hong Kong-based (International Firms) of Chambers Asia, 2013 and Chambers Global 2013 and in the IFLR 1000, 2014. Charlton Tse, Slaughter and May
Charlton is a senior associate at Slaughter and May and advises companies and financial institutions on mergers and acquisitions, capital markets transactions and regulatory matters. Prior to joining Slaughter and May, he was in-house counsel with Nomura. He read law at Cambridge and is qualified to practise Hong Kong and English law. He recently advised China Resources Gas Group Limited on the US$7.009 billion proposed merger with China Resources Power Holdings Company Limited.
