The HKCCA’s Executive Committee invites you to the following presentation, hosted by Gibson, Dunn & Crutcher.

TOPIC:   Asian M&A Risk Management and Hong Kong M&A and capital markets briefing

This course will deal with the identification and mitigation of corruption risk within business organizations, including within the M&A context.   It will include an overview of bribery and corruption trends in Asia and an explanation of the key provisions of the most relevant anti-corruption laws. The course will include recent enforcement statistics, and case studies on recent enforcement actions involving conduct in Asia. The presentation will include a discussion on common corruption risks, and best practices for effective risk mitigation.

The second part of the presentation will compare Hong Kong, UK and US approaches to certain key features of private M&A law and practice. 

The third part of the presentation will briefly discuss proposed amendments to Hong Kong market misconduct laws and how those amendments could lead to greater flexibility for structuring listed trusts.

SPEAKERS:            

Kelly S. Austin, Partner 

Kelly Austin is the Partner-in-Charge of Gibson, Dunn & Crutcher’s Hong Kong office. Kelly’s practice focuses on government investigations, regulatory compliance and international disputes. She has extensive expertise in corporate internal investigations, including those involving the Foreign Corrupt Practices Act, and in creating and implementing effective compliance programs.  From 2001 to 2010, Kelly served as the Compliance and Litigation Counsel for General Electric in Asia. In that role, she coordinated litigation, alternative dispute resolution proceedings, government and internal investigations, and compliance matters for the GE businesses throughout the region. Before moving to Hong Kong in 2001, Kelly practiced in Washington, DC, representing individuals and entities in a wide variety of criminal and civil matters in federal and state courts around the United States.            

Graham Winter, Partner

Graham Winter is a partner of Gibson, Dunn & Crutcher Hong Kong.  Based in Hong Kong since 1992, Graham’s practice includes cross-border M&A, public company takeovers and privatizations, capital markets, joint ventures and private equity transactions. Graham most recently advised HKT Limited in relation to HKT’s US$2.43 billion acquisition of CSL New World Mobility, which was announced in December 2013. Graham has previously advised on a number of ground-breaking transactions, including Hong Kong’s first contested public company takeover; and representing PCCW in relation to the spin-off and separate listing of its telecommunications business in the form of a novel structure involving a listed trust - the first of its kind in Hong Kong.
