TOPIC:   Managing Potential Misconduct and Enforcement Investigations - the Internal Counsel’s Perspective

The presentation will include a brief review of recent developments in the global enforcement landscape, including anti -corruption enforcement in an increasing number of jurisdictions, US trade and economic sanctions, and the World Bank sanctions program. The focus of the presentation will be on the key issues that inside counsel face in dealing with any of these regulatory issues: when to escalate the problem to senior management, the board; when to retain outside counsel; when and if to make voluntary disclosure; how to deal with employees and executives that may be implicated in wrongdoing; how to deal with the outside auditors. These are some of the critical questions inside counsel face whenever a potential legal or regulatory problem surfaces. One of the speakers, William Rosoff, was the Senior Vice President and General Counsel of two Fortune 100 companies, RJR Nabisco and Marsh and McLennan, and supervised a number of high profile internal investigations dealing with a range of legal and regulatory issues. He brings a perspective and experience not shared by many other outside counsels in this field.

SPEAKERS: Gregory D. Puff – Akin Gump, William L. Rosoff – Akin Gump

William L. Rosoff is the managing partner of Akin Gump’s Beijing office. His practice focuses on mergers and acquisitions, corporate governance and compliance, general corporate and China related matters. He regularly advises clients on cross-border mergers and acquisitions and joint ventures, as well as on regulatory compliance and corporate governance matters. Mr. Rosoff also has extensive experience in the handling and supervision of internal corporate investigations.

Gregory D. Puff is the head of the firm’s Hong Kong office and Asia practice. His practice focuses on public and private mergers and hostile transactions, stock and asset purchases, and joint ventures. Mr. Puff regularly represents multinational corporations and global investment and commercial banking firms in their M&A transactions around the world. He has recently been involved in numerous China-related going-private transactions, representing special committees, private equity sponsors, and financial advisors.
