TOPIC:  China’s Draft Foreign Investment Law, a First-Hand View

On 19 January 2015, the PRC Ministry of Commerce released the draft Foreign Investment Law for public comments.  If the Law is adopted, China’s current foreign investment regime, which started from 1979, will be replaced by a new system based on the national treatment principle, national security review system and extensive entity reporting obligations.  Simmons & Simmons partner Alan Xu has been invited by the Chinese government in the legislation of China’s national security review system since 2010 (now Chapter 4 of the Law) and later the Law, and also helped the European Union Chamber of Commerce in preparing comments to the Law.  As such, his first-hand accounts and knowledge of the discussions around the drafting of the law should be of value to counsels interested in the foreign investment landscape in China.  Specifically, the presentation will cover the following subjects:  

  • Overview of the proposed new law, including its legislation history, key aspects and implications to international investors  
  • Policy trends reflected in the new law
  • Opportunities presented by the new law to international investors
  • Next steps

SPEAKER: Alan Xu, Partner, Beijing, Simmons & Simmons

Alan is a partner in the Corporate & Commercial group of Simmons & Simmons.  He has extensive experience of advising multinationals in their expansion into China by foreign direct investment and mergers and acquisitions.  He also frequently advises Chinese state-owned and privately owned companies on their overseas acquisitions.  Alan was invited by the Chinese government in some key legislations of recent years, including the National Security Review Rules for M&A by Foreign Investors and the draft Foreign Investment Law.  Alan is a qualified lawyer in the PRC and New York.
