TOPIC:  New Chinese indirect offshore disposal rules (Announcement 7) and impact on M&A

On 3 February 2015, the Chinese State Administration of Taxation (SAT) issued the long-awaited Announcement 7, replacing the PRC’s indirect offshore equity disposal reporting and taxation rules in Circular 698 promulgated in 2009, with a substantially new and more comprehensive approach.

We will discuss how SAT's Announcement 7 may impact the operations and developments of private equity investments as well as M&A deals in China, particularly regarding:

  • Who’s affected?
  • What needs to be done and by whom?
  • What are the likely impacts on M&A deals? and
  • What are the main differences from Circular 698?

SPEAKER:

Chris Xing - Partner, Mergers & Acquisitions, KPMG China

Chris has assisted numerous international and PRC domestic clients with transaction structuring and devising tax effective strategies for implementing PRC business operations and arrangements, including profit repatriation and investment exit strategies.

Chris has extensive experience in advising on merger and acquisitions and has led a large number of tax due diligence projects involving the acquisitions of PRC companies in various industry sectors, including real estate, consumer markets and media.

Chris is a regular speaker and writer on tax matters. He has published numerous articles on Chinese taxation in industry journals.  Chris has also been interviewed and quoted in the New York Times, Wall Street Journal and BBC World News.

Chris is a member of the Mainland Taxation Sub-committee of the Hong Kong Institute of Certified Public Accountants and is an editor of the Asia-Pacific Journal of Taxation.
