Topic: Misrepresentation Risk in Lending Transactions
Misrepresentation risk is at the heart of many claims against lenders. Misrepresentation claims for negligent misstatement are often accompanied by claims in fraud and for breach of fiduciary duties. Such claims inevitably bring into play the effectiveness of exclusion clauses as a means of protecting lenders.
Concentrating primarily on syndicated lending, this talk will look at the leading cases and current state of the law in this area insofar as arrangers, agents and security agents/trustees are concerned.
The talk will also consider the limits of current case law (primarily English) where the trend is to uphold the effectiveness of exclusion clauses amongst sophisticated parties in the light of some of the experiences from the 2008 global financial crisis.
Speaker : Denis Petkovic, Head of Corporate Practice, Asia Withers
Denis is Head of the Withers Corporate Practice in Asia and global Head of the firm's International Finance and Projects Practice. He has a broad range of experience in finance and corporate transactions including project financings, structured finance, acquisitions and disposals, and insolvencies and restructurings and acts for a variety of stakeholders such as multilaterals, lenders and shareholders and borrowers/developers.
Denis is regularly recommended as a notable practitioner in Banking and Finance by Chambers and Partners and has been listed in Euromoney's Guide to the World's Leading Project Financing Lawyers.
