TOPIC: The SFC “Manager in Charge” Regime

In this presentation, we will discuss the "Manager in Charge" (MIC) Regime in Hong Kong. The MIC Regime was formally announced by the Securities and Futures Commission of Hong Kong (SFC) on 16 December 2016 and it applies to all licensed corporations (LCs). It was introduced to heighten the accountability of the senior management of LCs and to promote awareness of senior management obligations under the current regulatory regime. For example, under the Securities and Futures Ordinance senior executives can be held criminally liable for corporate misconduct. The rules require LCs to identify which of its managers are responsible for the "Core Functions" and to submit up-to-date management structure information and organisational charts to the SFC by 17 July 2017.

	Gareth Thomas, Partner, Dispute resolution, insurance and reinsurance, Hong Kong Gareth leads the Hong Kong commercial litigation team, as well as being responsible for the Asian insurance practice. He has had wide experience in disputes work, including cases concerning commercial contracts, shareholders' disputes, derivative actions, negligence actions, financial products mis-selling, insolvency, fraud, banking cases, cases concerning bonds, structured products and other derivatives, defamation proceedings, product liability, employment and restraint of trade. These proceedings often require urgent applications for interim injunctions. Gareth's experience also covers arbitration and mediation work. He has handled cross-border regulatory, corruption and criminal investigations and coroner's inquests. He has also worked on a number of disputes matters for UBS. Gareth is one of our risk management partners and is the relevant person for Hong Kong office money laundering reports.
	William Hallatt, Partner, Financial Services Regulatory, Hong Kong William leads the Financial Services Regulatory practice in Asia. William is dual qualified as a solicitor in Hong Kong and England & Wales, and has over a decade of experience in advising on financial regulatory matters in both in the contentious and non-contentious areas. His clients comprise investment banks, wholesale and retail banks and other financial institutions, including private wealth managers, hedge funds, investment managers and private equity firms. William has broad experience in advising clients in Hong Kong, Europe and the UK on areas including governance structures, systems and controls and conduct of business issues. William also advises extensively on the application and impact of Hong Kong market misconduct provisions and the UK / European market abuse regimes, together with anti-money laundering and terrorist financing requirements.
	Jessica Erickson, Senior Associate, Dispute resolution, Hong Kong Jessica's practice covers a wide range of contentious and non-contentious regulatory and compliance matters including anti-corruption compliance. She has extensive experience advising financial services clients in relation to internal investigations and cross-border regulatory investigations. Jessica has recently been involved in numerous HKMA and SFC investigations involving financial institutions, listed companies and individuals concerning alternative liquidity pools, sponsor requirements, bribery and corruption matters and market misconduct. Jessica joined the London office of Herbert Smith Freehills in late 2007 before moving to Asia in late 2011. She worked in our Shanghai office until early 2015 and then moved to Hong Kong. Jessica is dual qualified as a solicitor in Hong Kong and England and Wales. Jessica has also undertaken secondments to a number of financial institutions including Credit Suisse in London and Goldman Sachs in Hong Kong.
	Hannah Cassidy, Registered Foreign Lawyer(England and Wales), Financial Services Regulatory, Hong Kong Hannah has over eight years' experience of advising clients on a wide variety of financial regulatory matters, covering both contentious and non-contentious work. She advises clients from a range of industry sectors, including investment and retail banking, wealth management, asset management and insurance. Hannah has particular experience of contentious regulatory matters involving a breadth of issues such as systems and controls breaches and insider dealing. Hannah has experience in advising clients on issues relating to conduct risk, governance arrangements, individual accountability, mis-selling and complaints-handling. She also has very recent UK and EU experience, including in relation to changes to the EU market abuse regime and the revised Markets in Financial Instruments Directive (MiFID II).
