TOPIC:  Offshore Funds and Fund Related Disputes

Arising from various different factors, fund related disputes have become a common feature of the commercial landscape in Asia.  This seminar will give an overview on different fund structures and trends in the funds market.  We will also discuss common issues we have seen based on recent cases, and points to watch when a dispute arises.

SPEAKERS

Joanne Collett, Partner

Joanne is a Partner in the Insolvency & Dispute Resolution Group of Walkers' Hong Kong office.  She represents clients in relation to contentious and non-contentious matters including commercial disputes and fund related matters, restructurings and privatisations (including by way of Scheme of Arrangement), enforcement of rights and information gathering. Joanne regularly represents debtors, creditors (both secured and unsecured), shareholders and insolvency practitioners with a focus on commercial outcomes. Joanne also represents clients in relation to cases involving mergers by Cayman Islands companies, including acting for target companies, financiers and dissenting shareholders. 
 

Mark Cummings, Partner

Mark is a Partner in the Corporate & Investment Funds Group of Walkers' Hong Kong office. Mark has extensive experience in advising on the laws of the Cayman Islands, the British Virgin Islands and Ireland with regard to formation of investment funds, which include private equity, hedge funds, Irish regulated UCITS and AIFMD compliant structures. He also frequently advises Cayman Islands, BVI and Irish funds, their directors, shareholders and investment managers on mutual fund and securities regulatory matters. In addition to his funds practice, Mark also advises in relation to mergers and acquisitions, capital markets, the formation and operations of special purpose investment vehicles, including segregated portfolio companies, and public and private offerings of debt and equity involving Cayman Islands, BVI and Irish structures.
