In Hong Kong and throughout Asia, governments, regulators and traditional financial institutions are wide-awake and reacting. This session will survey the current status of law and regulation in Hong Kong and other key jurisdictions in Asia and share views on future trends.

Amongst other areas, payment systems, AML, data privacy, cybersecurity, big data, competition and sandboxes will be covered.

Compliance & enforcement red flags in the TMT sector

As regulators increase their enforcement focus on sanctions, anti-bribery and anti-corruption matters, the TMT sector is especially vulnerable and nowhere more so than in the Asia Pacific region. Recent enforcement actions have ensnared household names like ZTE and Qualcomm; large fines, deferred prosecution agreements, and cease and desist orders are distressingly common news.

In this session, we will discuss how recent developments in the enforcement sphere might affect your business, and what well-advised companies should be doing in order to identify, mitigate and, if necessary, remediate sanctions, anti-bribery, and anti-corruption risk.

Practical tips, negotiating points and pitfalls in TMT investments

Today’s TMT dealmakers need to stay current not only with highly dynamic business models but also the moves and countermoves of regulators and policy-makers. In this session we will discuss:

  • How the latest regulatory changes affect TMT investments, strategic transactions and exits, including HKEX dual-class listings, NYSE direct listings, NDRC oversight of outbound investment, and national security reviews
  • Typical issues for China-based TMT companies, including VIE structures, regulatory uncertainty for new business models, and supervoting structures for founders and pre-IPO investors
  • Key negotiating points for TMT M&A documents, including corporate governance structures, transfer restrictions, exit rights, non-competition and non-solicitation covenants and IP issues
  • Managing deals over multiple jurisdictions, including transaction structures, regulatory approvals, due diligence, shareholder communications, and closings
