TOPIC:  Register of People with Significant Control – a guide to the new requirements for keeping a record of beneficial interests

On 1 March 2018, a new requirement on Hong Kong-incorporated companies to maintain a register of significant controllers will come into effect.  All Hong Kong companies will be required by law to create and maintain a register of all persons who have significant control over it and appoint a designated representative to provide assistance relating to the significant controllers register to a law enforcement officer.   

In this seminar, the speakers will discuss:

    SPEAKERS:

    Paul Westover, heads the corporate group of Stephenson Harwood in Hong Kong.

    Paul has broad experience in a wide range of corporate/commercial matters in the Asia region, having gained his experience through working in international law firms and as in-house counsel for a well-known American information technology company.  Paul specialises in providing corporate finance, general corporate, corporate governance, investment fund related advice, and general commercial advice to a diverse range of clients including listed and private companies, as well as international corporations.

    His particular strength is in mergers and acquisitions, with substantial experience of cross-border M&A and related due diligence, as well as fund formations, joint ventures and inward investment into Asia.  Transactions that he has handled have involved most jurisdictions within Asia.  In addition, Paul has strong experience in insolvency related matters, particularly restructurings.

    Andrew Carpenter is a Senior Associate in the corporate department of Stephenson Harwood in Hong Kong. He has been based in Hong Kong since 2009, having previously practised in London since 2007.

    Andrew's main areas of expertise are in corporate and commercial transactions. He specialises in cross-border mergers & acquisitions, joint ventures, shareholder matters and, in addition, he advises on a broad range of commercial contracts.
