TOPIC:  HK-listed, Offshore-Incorporated: Shareholders at War

The Walkers team will use one of the recent HK listco disputes (where the company is a Cayman Islands company) as a case study to illustrate how in-house counsel and the onshore and offshore lawyers can work effectively together in protecting the client's interests: in that instance, injunctions and other protective measures to counter mismanagement of the listco and prevent, among other things, a substantial share placing to a related party.  The talk would be focussed on the three jurisdictions involved (Hong Kong, PRC (where the business was based) and Cayman Islands).

SPEAKERS:

Timothy Haynes is a Partner in Walkers' Insolvency and Dispute Resolution Group. He specialises in Cayman Islands and BVI commercial litigation and all forms of dispute resolution, and in insolvency and corporate restructuring matters.  Tim has over 20 years of experience representing a wide range of clients in all aspects of commercial litigation, arbitration and mediation, particularly in relation to contentious insolvency matters and shareholder and other disputes arising out of distressed corporate and investment vehicles.  In addition to his extensive litigation experience in the Cayman Islands and BVI Courts, he is a qualified Chartered Arbitrator and has appeared as an advocate in numerous arbitrations and mediations.  Before moving to Hong Kong in 2012, Tim was a Senior Counsel in the Dispute Resolution and Insolvency and Corporate Restructuring Group of Walkers' Cayman Islands' office, where he successfully represented clients in a broad range of cases before the Grand Court and Court of Appeal.

Regina Fan is a Counsel in Walkers' Insolvency and Dispute Resolution Group where she acts for clients in a wide range of commercial litigation, insolvency and corporate restructuring matters.  Regina represents clients in trust litigation; advises shareholders and directors of large corporations on rights, remedies and liabilities, and assists liquidators and financial institutions in recovering assets in an insolvency context and in fraud.  She frequently advises on regulatory compliance and corporate governance issues.  Regina has extensive experience in general commercial litigation in the common law jurisdictions and also in the Greater China region.  She has represented corporate and individual clients who have business interests in Greater China, in lawsuits in Hong Kong and in offshore jurisdictions.  Having practised in Hong Kong, London and the PRC, Regina has years of experience advising on cross-border disputes, insolvency matters, and regulatory investigations involving multinational corporations, and it has afforded her an in-depth understanding of both in bound and out bound investments and complex corporate structures in Asia.

Stuart D'Addona is a Senior Associate in Walkers' Insolvency and Dispute Resolution Group, where he focuses on corporate and financial restructuring and insolvency (contentious and non-contentious), and on general corporate and commercial litigation.  Prior to joining Walkers, Stuart practiced as a corporate and commercial dispute resolution specialist in a highly regarded firm in Australia.
