TOPIC: Behind the scenes of corporate reorganizations exercises in China and Hong Kong

The objective of the half-day seminar is to have a lively discussion on the numerous local and international opportunities and challenges to consider when undertaking strategic corporate exercises in China and Hong Kong. In particular, it will focus on the legal, employment and tax nuances of today’s reorganization exercises from the planning to implementation stage.

SPEAKERS:
Tracy Wut, Partner, Mergers & Acquisitions

Tracy Wut is a partner in Baker McKenzie’s Hong Kong office. Ms. Wut is experienced in mergers and acquisitions and foreign direct investments in China. She regularly acts for clients in complex cross-border transactions, in particular in the pharmaceuticals and healthcare sector, and navigates clients through various issues relating to investments in China. She has been recommended as a leading lawyer in Corporate/M&A by Chambers Global, Corporate/M&A and Life Sciences by Chambers Asia and M&A and private equity by IFLR1000. She is the co-head of the Pharmaceuticals and Healthcare Industry Group in China and Hong Kong.

Ms. Wut is knowledgeable in mergers and acquisitions, as well as a broad range of corporate and commercial matters relating to investment in China.
  Grace Tso, Partner, Mergers & Acquisitions

Grace Tso is a partner in Baker McKenzie’s Hong Kong office. Ms. Tso’s practice focuses on cross-border mergers and acquisitions for foreign investors and foreign direct investment into China and Hong Kong. She also advises multinational companies on the planning and implementation of multi-country corporate restructuring projects.
  Rowan McKenzie, Partner, Employment

Rowan McKenzie is a partner in Baker McKenzie's Employment Law Group in Hong Kong. Mr. McKenzie has extensive experience in all aspects of employment law. He is consistently called upon to provide advice on the challenges of implementing HR strategy, anticipating problems and reducing legal risks in Hong Kong and across the region. His recent work includes advising on employment structures and mobility arrangements as well as policy creation and implementation, downsizing and redundancy programs, equity-based compensation arrangements, compliance and investigations and employment related disputes involving discrimination and sexual harassment claims, enforcement of post-termination restrictions and bonus and equity entitlements on termination.
  Steven Sieker, Partner, Tax

Steven Sieker heads the Asia Pacific Tax practice group of Baker McKenzie across 12 countries.

He is a past member of the Hong Kong Inland Revenue Department Board of Review and has been a part-time instructor in Tax and Revenue Law at The Hong Kong University and City University of Hong Kong. He is a member of the Society of Trust and Estate Practitioners (STEP) and is a former executive director of STEP and the Canadian Chamber of Commerce in Hong Kong. He is the chairman of the Revenue Committee of the Law Society of Hong Kong and a member of the Joint Liaison Committee on Taxation. He is also a former clerk to the Supreme Court of Canada.

Mr. Sieker's practice focuses on Hong Kong and Asian regional tax advisory work, estate planning and tax litigation. He frequently represents clients in tax disputes with the Inland Revenue Department in Hong Kong. He is ranked as a  leading individual for tax in Hong Kong by Chambers Asia and Chambers High Net Worth, Citywealth Leaders List, International Tax Review, Guide to the World’s leading Tax Advisers, Benchmark Asia-Pacific, and Who's Who Legal.  As per Chambers Asia Pacific, Steven is highly thought of in the market for his experience and work in the contentious tax space, and is also skilled at taking on wealth management matters.
  Amy Ling, Partner, Tax

Amy Ling is a partner in Baker McKenzie's Hong Kong office. She has extensive experience in tax matters, having previously worked at a Big Four accounting firm and a major investment banking firm based in New York. Ms. Ling advises multinational companies on a range of issues relating to PRC tax and legal implications of investments in China, including mergers and acquisitions, divestitures, reorganizations, post acquisition integration, licensing, retail structures, supply chain structures and individual income taxation matters.

Ms. Ling is noted by International Tax Review (ITR) as one of the 2018 Tax Controversy Leaders. She has also been ranked as one of the 2017 Women in Tax Leaders in China/Hong Kong.
