Sometimes what appears to be an agreement is not in fact legally binding, for example because it is incomplete or its terms are uncertain, or perhaps because the necessary contractual intention is lacking.
Conversely, a binding agreement might be reached despite appearances to the contrary, for example where parties commence work before a formal agreement is signed.
In this webinar, we will consider the problems that can arise and look at some practical steps that can be taken to minimize the risks.
SPEAKERS:
Gareth Thomas
Gareth heads the commercial litigation practice of Herbert Smith Freehills in Hong Kong. Gareth has over 30 years of experience in handling disputes work for a wide range of corporations including banks, financial institutions, insurance companies and multi-nationals on their most complex disputes with many having a multi-jurisdictional element.
Gareth's experience spans across many facets of disputes including advising on complex commercial contracts, shareholders' disputes, derivative actions, negligence actions, financial products mis-selling, insolvency, fraud, banking cases, cases concerning bonds, structured products and other derivatives, defamation proceedings, product liability, employment and restraint of trade. These proceedings often require urgent applications for interim injunctions. Gareth's experience also covers arbitration and mediation work. He has handled cross-border regulatory, corruption and criminal investigations and coroner's inquests.
Jojo Fan
Jojo is a partner in the dispute resolution practice of Herbert Smith Freehills' Hong Kong office. Fluent in English, Mandarin and Cantonese, Jojo has a broad commercial litigation practice and has acted in court proceedings, interim injunctive measures and arbitration-related matters. She regularly advises banks, financial institutions and corporates on various contentious matters, with a particular focus on disputes that have China-related elements.
Jojo specialises in providing advice on contentious issues facing Chinese and international financial services providers. She has extensive experience in complex financial disputes about mis-selling, unauthorised trading, debt recovery, enforcement of security and cyber fraud. She has also represented financial services clients in a wide range of regulatory inquiries/investigations, disciplinary enforcement proceedings and civil proceedings in the High Court of Hong Kong.
In addition, she has helped clients across a wide range of industries with company and commercial disputes, contract and tort claims, and boardroom and shareholder claims.
Truman Mak
Truman is an associate in the dispute resolution practice of Herbert Smith Freehills' Hong Kong office. His practice focuses on general commercial litigation and contentious financial regulatory matters, with experience in matters involving multi-jurisdiction disputes, economic tort, fraud, shareholder disputes, contractual disputes, financial regulatory proceedings, administrative law and constitutional law.
Truman has experience working with clients in various sectors, including financial services sector, shipping, consumer products, liquidators as well as high-net-worth individuals. Truman is fluent in English, Mandarin and Cantonese.
