The HKCCA’s Executive Committee invites you to the following presentation, hosted by Linklaters.

TOPIC:  The New Companies Ordinance – Share capital and reorganisation

The seminar will give you an overview of the key points in the new Companies Ordinance that will impact share capital transactions, and will cover matters such as:

  • New no par value regime
  • New requirements for shareholders’ approval before carrying out capital transactions
  • New uniform solvency statement regime for the giving of financial assistance, capital reductions and share buybacks

SPEAKERS:

Craig Dally, Christopher Yip and Oliver Evans

Craig is a Hong Kong corporate partner at Linklaters.  Craig is experienced in Hong Kong company law, public and private M&A, and international equity issues. Craig has particular interests in the FIG, gaming, mining and retail industries, and has advised on numerous M&A transactions and listings. 

Chris is a corporate managing associate at Linklaters in Hong Kong.  He has extensive experience in advising corporates and financial institutions on a range of public and private M&A transactions and international equity issues. Chris also provides general corporate and commercial advice to clients, including local and international corporates, banks and private equity funds.

Ollie is a corporate managing associate at Linklaters in Hong Kong.  He has been involved in advising corporates, banks and private equity houses on cross-border public and private M&A transactions and restructurings.  Ollie has also been extensively involved in advising Hong Kong corporates in preparation for the new Companies Ordinance.
